Welcome to BDO Jordan – Iraq Academy. These Terms of Service govern your access to and use of our website, online training platform, and all courses, content, and services provided through them (together, the "Services").

1. Acceptance of the Terms of Use

  1. Samman and Co., Jordan – Amman, Complex No 25, Umm Metawee Al-Aslameyah St. ("Samman and Co.", "we", "us", or "our") owns and operates the BDO Jordan - Iraq Academy online training platform and its related website (the "Website"). These Terms of Use govern your access to and use of the Website and all online services, content, courses, and materials provided through it (together, the "Services"). By using our Services, including browsing our website or clicking on any "accept" or "agree" button referring to these Terms of Use, you accept and agree to be bound by these Terms of Use and by our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms of Use or the Privacy Policy, you must not access or use our Services.
  2. Our Services are offered and available only to users who are at least 18 years old and who are able to form a binding contract under applicable law. By using our Services, you represent and warrant that you meet these requirements. If you do not meet all of these requirements, you must not access or use our Services.
  3. We may deliver or make available important information and communications to you from time to time, including, for example, course updates, announcements, acknowledgements, email messages, and online notices. By using our Services, you agree to review such electronic communications in a timely manner.
  4. We may revise and update these Terms of Use from time to time at our sole discretion. All changes are effective immediately when posted on the Website and apply to all access to and use of the Services thereafter. Your continued use of our Services following the posting of revised Terms of Use means that you accept and agree to the changes. You agree to review these Terms of Use regularly, as they are binding on you.

2. Permitted Uses

Subject to these Terms of Use and upon full payment of any applicable fees, we grant you a limited, personal, non-commercial, non-exclusive, and non-transferable license to access and use the Services and the content made available to you (including courses, materials, and resources) solely for your own learning and exam preparation. All rights not expressly granted are reserved by Samman and Co., BDO Jordan - Iraq Academy, and our licensors.

3. Prohibited Uses

You shall not:

  1. Use the Services for any unlawful purpose.
  2. Violate any applicable local or international law or regulation (including, without limitation, any export control laws).
  3. Disclose, publish, distribute, publicly perform, publicly display, sell, resell, lease, sublease, transfer, license, sublicense, assign, or otherwise distribute any portion of the Services or any materials derived from the Services, in whole or in part.
  4. Share your username and password with another person.
  5. Allow any other person to access your account or any materials you have obtained from the Services.
  6. Exploit the Services for any commercial purposes (including training others for a fee) without our prior written consent.
  7. Copy, modify, transmit, or create derivative works, in whole or in part, of the Services or any materials derived from the Services for commercial purposes without our prior written consent.
  8. Impersonate or attempt to impersonate Samman and Co., BDO Jordan - Iraq Academy, any of our employees, another user, or any other person or entity.
  9. Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services or that may harm us, our users, or expose us to liability, as determined at our sole discretion.
  10. Use the Services in any manner that could disable, overburden, damage, or impair any part of the Services or interfere with any other party's use of the Services.
  11. Use any robot, spider, or other automatic device, process, or means to access or monitor or copy any material on the Services for any unauthorized purpose.
  12. Use any manual process to monitor or copy any material on the Services for any unauthorized purpose without our prior written consent.
  13. Use any device, software, or routine that interferes with the proper working of the Services.
  14. Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  15. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are hosted, or any server, computer, or database connected to the Services.
  16. Attack the Services via a denial-of-service attack or distributed denial-of-service attack.
  17. Attempt to circumvent any security features or technical protections in the Services.
  18. Attempt to or give another the means to access, inspect, modify, distribute, copy, or reverse engineer any computer codes (including software, HTML code, source code, executable code) of the Services.
  19. Infringe, misappropriate, or otherwise misuse any of our intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, trade dress, and know-how.

We may, in our sole discretion, suspend or terminate your account, terminate these Terms of Use, and refuse you access to the Services without notice if we determine that you have violated these Terms of Use or engaged in misconduct. We may pursue any violations of these Terms of Use in a court of competent jurisdiction, including seeking legal and equitable remedies and recovering our costs and attorneys' fees. We may cooperate with law enforcement authorities in connection with any investigation or prosecution arising from use of the Services. 4. Intellectual Property Rights

  1. The Services and all materials, contents, features, and functionality (including, but not limited to, all information, text, questions, explanations, examples, videos, images, audio, design, computer code, software, HTML, source code, executable code, interfaces, and the design, selection, and arrangement thereof) are owned by Samman and Co., BDO Jordan - Iraq Academy, or our licensors and are protected by Jordanian law and international intellectual property treaties (including, without limitation, copyright, trademark, patent, trade dress, and trade secret laws).
  2. You must not remove, alter, or obscure any copyright, trademark (including service marks and trade names), or other proprietary rights notices that appear on or in the Services.
  3. You acknowledge that any actual or threatened infringement of our intellectual property rights may cause irreparable harm for which monetary damages may be an inadequate remedy. We are therefore entitled to seek equitable relief (including restraining orders, preliminary or permanent injunctions, and specific performance), in addition to any other remedies available at law or in equity.
  4. If you believe in good faith that materials available through the Services infringe your copyright, you may send us a written notice requesting that we remove or block access to the material. Similarly, if you believe someone has wrongly filed a notice of copyright infringement against you, you may send us a counter-notice. 5. Our Services

  1. Our Services are designed to provide practical and useful information related to professional certifications and training, including (without limitation) CPA, CMA, CIA, CISA, JCPA, CFM, and other professional certifications. You acknowledge that, even if our content concerns accounting, auditing, tax, technology, or legal topics, it does not constitute accounting advice, tax advice, legal advice, or any other professional advice. You should not act or refrain from acting on the basis of any content provided through the Services without seeking advice from a competent professional in the relevant field.
  2. While we use reasonable efforts to ensure that information provided through the Services is accurate, complete, and current, we do not warrant or guarantee that any information we provide (including descriptions, syllabi, study plans, examples, features, content, specifications, or schedules) is always accurate, complete, current, or error-free. Any references to third-party products, exams, organizations, or services do not constitute an endorsement. Any performance or pass-rate information is approximate and provided for informational purposes only.
  3. We reserve the right, at any time and from time to time, in our sole discretion, to modify, update, or discontinue any part of the Services, including any course, content, feature, or functionality, with or without notice.
  4. The Services may contain links to or integrations with third-party websites, platforms, or services ("Third-Party Services"). We do not control and are not responsible for the content, terms, policies, or practices of any Third-Party Services, and we shall not be liable for any damage or loss arising out of or relating to them. Use of Third-Party Services is at your own risk and subject to the terms and policies of those third parties.

6. Paid Content

  1. Upon purchasing any paid course or content (including, without limitation, CPA, CMA, CIA, CISA, JCPA, CFM and other professional certification preparation programs, live or recorded seminars, or other fee-based materials) (each, "Paid Content"), we grant you a limited, personal, non-commercial, non-exclusive, and non-transferable license to access and use that Paid Content for your own individual learning for a period ranging from six (6) months up to two (2) years from the date you first gain access, depending on the course selected and as specified at the time of purchase.
  2. You may purchase Paid Content online through our third-party payment providers or through our sales representatives. By making any purchase, you represent and warrant that you have the legal right to use any payment method (including credit or debit card) used in connection with the transaction.
  3. If installment payment options are offered and selected by you, each installment must be paid when due. If any payment (including any installment) cannot be processed or is not paid when due, you acknowledge and agree that we may deny, suspend, or terminate your access to the applicable Paid Content without notice.
  4. Your license to Paid Content will automatically expire at the end of the applicable access period, which ranges from six (6) months up to two (2) years from the date you first accessed that Paid Content depending on the course, as indicated for the course at the time of purchase.
  5. Prior to the expiration of your license to Paid Content, you may request an extension of access by emailing courses@bdo.com.jo. Granting or denying any extension (and the conditions of any extension) is at our sole discretion and may depend, among other things, on your compliance with these Terms of Use and your demonstrated need (for example, ongoing preparation for a specific certification exam).

7. Username, Password, and Security

  1. You are responsible for maintaining the confidentiality of your account information, including your username and password, and for logging out at the end of each session.
  2. You are fully responsible for all activities that occur under your account.
  3. You agree to notify us immediately at courses@bdo.com.jo if you suspect any unauthorized access to your account or other security breach.
  4. We shall not be liable for any loss or damage arising from your failure to comply with this Section 7.

8. User Contributions

  1. You are solely responsible for any content you post, upload, submit, or otherwise make available through the Services ("Posts"), including messages, comments, discussion forum entries, or any other materials. You agree not to Post any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually explicit, threatening, harassing, racially or religiously offensive, or illegal material, or any material that infringes or violates the rights (including intellectual property, privacy, or publicity rights) of any person.
  2. By submitting Posts, you grant Samman and Co., BDO Jordan - Iraq Academy, and our affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to copy, use, transmit, distribute, publicly perform, publicly display, and create derivative works from your Posts in any media now known or later developed, for any lawful purpose related to the Services. You waive any moral rights you may have in your Posts, to the extent permitted by law. You remain solely responsible for your Posts.
  3. If you speak, instruct, or present at any of our events, courses, or seminars (online or in-person), you consent to our recording of such events and your presentations, including your presentation materials ("Presentation Materials"). You grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use, reproduce, distribute, publicly display, and publicly perform such recordings and Presentation Materials in any media now known or later developed for educational and promotional purposes.
  4. We may, but are not obligated to, monitor, review, or edit Posts before or after they appear on the Services.
  5. We may disclose any Post and any related information if required to do so by law or if we determine that such disclosure is reasonably necessary to protect our rights, the rights of third parties, or to comply with legal or regulatory obligations.

9. Termination

  1. We may terminate or suspend your access to the Services, or any part thereof, at any time, with or without notice, for any reason, including if we discontinue the Services or if we believe you have violated these Terms of Use.
  2. Upon termination of these Terms of Use and upon our request, you must immediately cease using the Services and destroy all copies of materials from the Services in your possession, whether in electronic or printed form.
  3. Upon expiration of your license to any Paid Content, you must immediately cease using that Paid Content and destroy any copies of such content in your possession, whether in electronic or printed form.
  4. We may delete your account and any information you stored in connection with a Paid Content once your license has expired, subject to any legal or regulatory obligations to retain data.

10. Disclaimer

You acknowledge that accounting, auditing, tax, technology, certification, and other rules, regulations, and standards are subject to frequent change and can be complex. Course materials may therefore at times be incomplete, outdated, or contain errors.

The Services and all content are provided on an "as is," "as available," and "with all faults" basis without any warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and title. We do not warrant that the Services or any content will be accurate, complete, reliable, error-free, uninterrupted, free of viruses or other harmful components, or that they will meet your expectations or exam outcomes. You are solely responsible for evaluating and bearing all risks associated with your use of the Services.

11. Limitation of Liability

To the fullest extent permitted by law, in no event shall Samman and Co., BDO Jordan - Iraq Academy, our affiliates, licensors, service providers, or our or their employees, agents, officers, or directors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, whether arising in contract, tort (including negligence), or otherwise, including, without limitation, damages for personal injury, emotional distress, loss of profits, loss of revenue, loss of data, loss of business or anticipated savings, loss of goodwill, or service interruption, even if foreseeable or if we have been advised of the possibility of such damages.

To the extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms of Use shall not exceed the total amount you paid to us for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.

12. Indemnity

You agree to defend, indemnify, and hold harmless Samman and Co., BDO Jordan - Iraq Academy, our affiliates, licensors, and service providers, and each of our and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms of Use; or (b) your use of the Services, including your Posts or any use of the content other than as expressly authorized in these Terms of Use.

13. Dispute Resolution and Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan. Jordanian courts shall have jurisdiction over any dispute arising out of or relating to these Terms of Use or the Services, without prejudice to our right to initiate proceedings in any other competent court where the defendant is domiciled or where required by applicable law.

14. Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms of Use or the Services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

15. Miscellaneous

  1. Waiver: No waiver by us of any term or condition in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
  2. Severability: If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms of Use continue in full force and effect.
  3. Survival: Sections relating to prohibited uses, intellectual property, disclaimers, limitation of liability, indemnity, governing law, limitations of time to file claims, and any other provisions which by their nature should survive, will survive termination, cancellation, or expiration of these Terms of Use.
  4. Entire Agreement: These Terms of Use and the Privacy Policy constitute the entire agreement between you and Samman and Co. with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.

16. Marketing and Performance Claims

If we publish pass-rate statistics, hours-saved calculations, or awards or rankings related to our courses (for example, for CPA, CMA, CIA, CISA, JCPA, CFM, or other professional certifications), such claims will be based on internal data, self-reported student outcomes, reasonable assumptions, and/or third-party recognition, and are provided for informational and marketing purposes only. They do not constitute a guarantee of any individual candidate's results or exam success.

17. Customer Support

We may provide different levels of customer support (for example, standard versus premium). Response times and scope of support may vary and are not guaranteed. Support is intended to clarify or explain our materials and is not a substitute for your own study, professional judgment, or independent research. We reserve the right to limit or moderate support if the volume, type, or structure of inquiries exceeds acceptable levels or falls outside the scope of the Services.
